Two dormant
subsidiaries, namely Kuari Sungai Batu Sdn Bhd (“KSB”) and Bukit
Bendera Enterprise Berhad (“BBE”), are being wound-up pursuant to
Section 254(1)(b) of the Companies Act, 1965.
KSB and BBE are wholly-owned subsidiaries of Road Builder (M) Sdn
Bhd, which in turn is a wholly-owned subsidiary of IJM Construction
Sdn Bhd (“IJMC”). IJMC is a wholly-owned subsidiary of the Company.
KSB and BBE were incorporated in Malaysia on 9 March 1987 and 26
October 1988 respectively. The cost of investment in KSB and BBE
are RM500,000 and RM18,000 respectively.
The voluntary winding-up of KSB and BBE will not have any
significant financial and operational impact on the Group for the
financial year ending 31 March 2010.
None of the Directors or major shareholders of the Company, or
persons connected with them, has any interest, direct or indirect,
in the winding-up of these companies and no approval of shareholders
is required. |
