Members’ Voluntary Winding-Up of Dormant Subsidiaries and Associates
 

Two dormant subsidiaries, namely Saluran Teguh Sdn Bhd (“STSB”) and GR Commerce Sdn Bhd (“GRC”), are being wound-up pursuant to Section 254(1)(b) of the Companies Act, 1965.

STSB is a 60%-owned subsidiary of Imbangan Pintar Sdn Bhd, which in turn is a wholly-owned subsidiary of Road Builder (M) Sdn Bhd (“RBM”). RBM is a wholly-owned subsidiary of IJM Construction Sdn Bhd, a wholly-owned subsidiary of the Company. STSB was incorporated in Malaysia on 11 November 1999. The cost of investment in STSB is RM60.

GRC, a wholly-owned subsidiary of the Company, was incorporated in Malaysia on 16 December 1988. The cost of investment in GRC is about RM8.9 million.

Three other dormant associates, namely Deltabumi Sdn Bhd (a 40% associate), Nekadsatu Jaya Sdn Bhd (a 50% associate) and JWS Projects Sdn Bhd (a 50% associate), are also being wound-up pursuant to Section 254(1)(b) of the Companies Act, 1965.

The voluntary winding-up of these companies will not have any significant financial and operational impact on the Group for the financial year ending 31 March 2009.

None of the Directors or major shareholders of the Company, or persons connected with them, has any interest, direct or indirect, in the winding-up of these companies and no approval of shareholders is required.
